UK's First Bitcoin-Backed Preferred Stock Has No Custodian, No Prospectus, No Code — and That Is the Story

CoinChain • • Markets
Trade press picked this up on a slow day, and the headline did its job: The Smarter Web Company, a UK-registered outfit with no public technical documentation, says it intends to issue the country's first Bitcoin-backed preferred stock. Floor price broken. Truth verified. I went looking for the instrument itself. I found a company name and a sentence about an intention. No named custodian. No audit firm attached. No prospectus filed. No ISIN. No smart contract address. No engineer listed on a team page. Data checked. Community warned. Start with what a preferred stock actually is, because the modifier is doing all the work here. A preferred is the slice between a bond and common equity — fixed dividend, priority in liquidation, usually no meaningful vote. What turns it into a crypto story is the word "backed." That word can mean three completely different things: a company holding BTC on its balance sheet and pledging it against a tranche; a trust that custodies coin directly behind the notes; or a purely index-linked wrapper with no coin behind it at all. The announcement picks none of the three. In my experience auditing structured products, the missing sentence is rarely an oversight. It is the disclosure strategy. Britain's regulatory backdrop explains the timing better than anything in the announcement. The FCA banned crypto derivatives for retail back in January 2021 and has never fully reopened that door. Spot Bitcoin ETFs launched in the US in January 2024, then in Hong Kong, then across a widening set of jurisdictions. London watched. The UK has genuine institutional depth — asset managers, brokers, private banks — but almost no legal wrapper that lets that capital express a Bitcoin view with a coupon attached. A preferred stock is exactly that wrapper. It is also, under UK law, unambiguously a security, which means the Financial Conduct Authority owns this file whether the issuer likes it or not. There is a template for this, and it is not British. MicroStrategy has spent several years issuing convertible debt and, more recently, preferred tranches to fund an ever-larger BTC balance sheet. The structure is now well understood: sell a senior claim with a fixed coupon, hold the volatile asset underneath, let the spread between your coupon and your asset's return be your margin. If The Smarter Web Company is copying that blueprint at small scale, the product is coherent. It is also derivative. The genuinely novel part is not the mechanism. It is the venue. Here is where the technical file goes thin, and thin is a finding, not a gap. Run the Howey test across the four prongs and every one of them lands on the securities side. Money invested, yes — subscribers pay in fiat. Common enterprise, yes — capital pools with the issuer. Expectation of profit, yes — a fixed dividend plus BTC upside. Efforts of others, yes — the holder depends entirely on the issuer's management and whatever custodian holds the coin. Four for four. This is a regulated security in everything but paperwork, and UK financial promotion rules mean that if the company markets it to the public before authorisation, it is not innovating. It is breaking the law. Then there is custody, which is the question I always ask first. I spent six months in the winter of 2018 running Telegram communities for three failing Ethereum startups, keeping a public Google Doc ledger of every promise the founders made and every one they broke. The first line I learned to check on any collateralised product was never the yield. It was who physically holds the collateral. Self-custody means a key-loss event is a total-loss event. Third-party custody means counterparty risk dressed as safety, and the insurance backing it is usually a paragraph, not a policy. Either way, the "backed" in Bitcoin-backed resolves to a human, a legal entity, and a contract nobody has read. Pricing is the next failure point, and it is the one nobody flags in a press release. The moment this instrument trades on any secondary venue, its net asset value has to reference a BTC rate. That reference comes from an oracle or an index provider. DeFi's own Achilles' heel is oracle latency — the gap between the last printed price and the real one, which is exactly the window where liquidations cascade. Chainlink solved decentralisation by running a small set of permissioned node operators, which is a governance decision, not a mathematical guarantee. Import that dependency into a traditional preferred stock and you have rebuilt the same fragility inside a regulated wrapper. If a feed stalls during a 15% candle, the NAV is stale and somebody is trading against a number that stopped being true twenty minutes ago. Now the part that costs ordinary people real money. Every subscription to this product will run through full KYC and AML: source-of-funds declarations, accredited-investor gating, ongoing monitoring. That is a lot of compliance overhead, and it does not disappear. It gets priced into the coupon, which means the honest subscriber pays for a verification process that anyone with a brokerage account and a self-custody wallet can replicate in about eleven minutes. The economic exposure here — BTC beta plus a fixed coupon — is not scarce. The wrapper is. And the wrapper's cost lands on the people who follow the rules. So where does the fixed dividend actually come from? Bitcoin generates no yield. It pays no coupon, mints no cash flow. The issuer therefore has three options: lend or pledge the coin into a yield strategy, run an operating business that funds the payout, or pay existing subscribers out of fresh subscriptions. I watched option three destroy an entire sector. BlockFi and Gemini Earn looked like Bitcoin savings accounts right up until they did not, and the recovery process for creditors took years. The distance between this announcement and that graveyard is measured in one document: a prospectus that names the revenue source. Which does not exist yet. Here is the angle the trade coverage missed entirely. The interesting risk is not that this fails. Failure is boring and common. The interesting risk is that it succeeds on narrative alone — that a company with no disclosed team, no custodian, no auditor and no filing collects subscriptions because the phrase "Bitcoin-backed" travels faster than a due-diligence checklist. The UK does not have a first-mover advantage here. It has a lag, and lags get filled by whoever is willing to publish a press release first. When I coordinated the Red Flag List with fifteen other journalists during the Terra collapse in 2022, the scam recovery tokens did not arrive before the failure. They arrived during it, dressed as solutions. Watch for the same pattern around structured crypto products in 2026. And treat "first in the UK" as the marketing claim it is. Preferred stock requires a prospectus, an FCA authorisation path, a custodian, and an audit trail. Three of those four are absent. That is not a knock on ambition. It is a statement about what exists today. What to watch, in order: an FCA register entry, a named qualified custodian with a real insurance policy, and a filed prospectus. Any two of those three appearing together changes the picture. Until then, the honest position is the one I keep returning to after a decade of covering this industry — the announcement is not the asset, the wrapper is not the yield, and the coupon is not free. So who is actually paying it?
